AGREEMENT TO OUR LEGAL TERMS

We are TokenFlex Ltd ("Company", "we", "us", or "our"), a company registered in Kenya at Westlands, 2, Nairobi, 00100.

We operate the website https://tokenflexapp.com/ and the TokenFlex application (the "Services").

TokenFlex allows users to request prepaid KPLC electricity tokens. We purchase and deliver the token on your behalf using our funds. You repay us later via M-Pesa.

These Legal Terms constitute a legally binding agreement between you and TokenFlex Ltd. By accessing the Services, you agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our Services. The Content and Marks are provided "AS IS" for your personal, non-commercial use only. You may not copy, reproduce, or exploit any part of the Services without our express prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information is true and accurate; (2) you will keep it updated; (3) you have legal capacity and agree to these Terms; (4) you are at least 18 years old; (5) you will not use automated means; (6) you will not use the Services for illegal purposes; and (7) your use will not violate any law.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove or change any username we deem inappropriate.

5. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate payment information. We reserve the right to refuse any order or limit quantities.

6. POLICY

All sales are final and no refunds will be issued.

7. PROHIBITED ACTIVITIES

You may not: sell or transfer your profile, use the Services to advertise or offer goods and services, provide false information, engage in fraud, or share token codes publicly.

8. USER GENERATED CONTRIBUTIONS

Contributions may be viewable by others. You are responsible for what you post and grant us a broad licence to use your Contributions.

9. CONTRIBUTION LICENCE

By posting Contributions, you grant us a worldwide, royalty-free licence to use, reproduce, and display them.

10. GUIDELINES FOR REVIEWS

Reviews must be honest, based on firsthand experience, and must not contain offensive or illegal content.

11. MOBILE APPLICATION LICENCE

We grant you a limited, revocable licence to use the App on your device in accordance with these Terms.

12. THIRD-PARTY WEBSITES AND CONTENT

We are not responsible for third-party websites or content linked from our Services.

13. SERVICES MANAGEMENT

We reserve the right to monitor, remove content, and terminate access for violations.

14. PRIVACY POLICY

Please review our Privacy Policy. By using the Services, you agree to it.

15. TERM AND TERMINATION

We may terminate or suspend your account at any time for violations. Upon termination, you must stop using the Services.

16. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Services at any time. We are not liable for interruptions.

17. GOVERNING LAW

These Terms are governed by the laws of Kenya.

18. DISPUTE RESOLUTION

Disputes shall first be resolved through informal negotiations for 30 days. If unresolved, they shall be referred to arbitration in Nairobi, Kenya by a single arbitrator.

19. CORRECTIONS

We reserve the right to correct errors or omissions on the Services at any time.

20. DISCLAIMER

The Services are provided "AS IS". We disclaim all warranties to the fullest extent permitted by law.

21. LIMITATIONS OF LIABILITY

Our total liability shall not exceed the amount you paid for the specific token loan (maximum KSh 1,000).

22. INDEMNIFICATION

You agree to indemnify us against claims arising from your use of the Services or breach of these Terms.

23. USER DATA

You are responsible for your data. We are not liable for loss or corruption of your data.

24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to electronic communications and agree that electronic signatures are valid.

25. SMS TEXT MESSAGING

By using the service, you consent to receive transactional SMS. You can opt out of non-essential messages by replying "STOP".

26. MISCELLANEOUS

These Terms constitute the entire agreement. If any provision is invalid, the remainder remains enforceable.

27. NATURE OF SERVICE

TokenFlex is a digital credit service that purchases KPLC prepaid electricity tokens on your behalf using our own funds. You do not receive cash.

28. KPLC DISCLAIMER

TokenFlex is not an authorized agent of KPLC. KPLC takes no liability for transactions facilitated by us. You accept all risks.

29. LOAN LIMIT & CREDIT

Maximum loan per request is KSh 1,000. We are applying for a Digital Credit Provider licence with the Central Bank of Kenya.

30. REPAYMENT OBLIGATION

You agree to repay the full amount plus any late fees. Repayments are via M-Pesa STK Push through TUMA.

31. TOKEN DELIVERY

Tokens are delivered to your phone and meter. You are responsible for entering the code correctly.
